Lahore High Court approves Fatima Fertilizer’s Multan plant transfer to Pakarab Fertilizers

Fatima Fertilizer Company Limited has announced that the Lahore High Court (LHC) has approved a scheme allowing the transfer of its Multan plant operations to its wholly owned subsidiary, Pakarab Fertilizers Limited (PFL), effective January 1, 2025.

In a notice to the Pakistan Stock Exchange (PSX) on Tuesday, Fatima Fertilizer said that “a joint petition/application bearing C.O. No. 78664 of 2024 was instituted by the Applicant Companies namely M/s Fatima Fertilizer Company Limited (‘Fatima’) and its wholly-owned subsidiary M/s Pakarab Fertilizers Limited (‘PFL’) before the Honourable Lahore High Court, Lahore seeking therein, the sanction of the Scheme of Compromises, Arrangement, and Reconstruction (the ‘Scheme’) inter se the stated companies, whereby Fatima will transfer its Multan plant operations to Pakarab Fertilizers Limited.”

The company added that “the Honourable Lahore High Court, Lahore has sanctioned/approved the Scheme inter se Fatima and PFL with effect from January 1, 2025. A certified copy of the order of the Honourable High Court has been received on November 8, 2025.”

The transfer forms part of an internal restructuring process within the Fatima Group, allowing Pakarab Fertilizers to manage the Multan plant operations independently. 

Fatima Fertilizer was incorporated in Pakistan on December 24, 2003 as a public company under the repealed Companies Ordinance, 1984 (now Companies Act, 2017). The principal activity of the Company is manufacturing, producing, buying, selling, importing and exporting fertilizers and chemicals.
